Ventures involving partners or shareholders usually begin with a common vision. Unfortunately, at times, the shareholders or partners move in different directions, which causes a break down in the business relationship.

The Siskinds Corporate & Commercial Litigation Group is experienced in resolving disputes between shareholders and business partners in order to achieve our clients' business objectives in a cost-effective, timely and practical manner. We attempt to preserve the business relationship at the heart of every dispute, if possible, through negotiations, however, there are times when negotiations fail, which requires a more aggressive approach. Our Group is not afraid to advance a claim in the courts in order to protect the interests of our clients.

Our Group is fully equipped to respond promptly and knowledgably to matters relating to shareholder and business disputes, including:

  • Providing advice with respect to the preparation of a shareholder agreement in an effort to avoid potential conflicts in the future;

  • Interpreting and enforcing shareholder agreements;

  • Advancing claims on behalf of shareholders or creditors with respect to oppressive conduct of the corporation, directors or majority shareholder;

  • Obtaining valuations of shareholder interests;

  • Winding up corporations, either voluntarily or through court order; and

  • Attacking the sale or conveyance of corporate assets, which may have been done so in order to hinder creditors or prejudice minority shareholders.

Members of the Siskinds Corporate & Commercial Litigation Group have participated in many forms of alternative dispute resolution, including mediation and arbitration, and have appeared on behalf of our clients in all court levels including the Superior Court of Justice, Divisional Court, Court of Appeal for Ontario and the Supreme Court of Canada and have built a reputation among our peers and the judiciary for determination, effectiveness, credibility and reliability, attributes which are crucial to achieving results.
