Shareholder Disputes

Ventures involving partners or shareholders usually begin with a common vision. Unfortunately, there can be times when shareholders or partners move in different directions, which can cause a break down in the business relationship.
We are experienced in resolving disputes between shareholders and business partners. We attempt to preserve the business relationship through negotiations. However, when negotiations fail we are able to take a more aggressive approach.
  • Providing advice with respect to the preparation of a shareholder rights agreement in an effort to avoid future potential conflicts
  • Interpreting and enforcing shareholder agreements

  • Advancing claims on behalf of shareholders or creditors with respect to oppressive conduct of the corporation, directors or majority shareholder

  • Obtaining valuations of shareholder interests

  • Winding up corporations, either voluntarily or through court order
  • Attacking the sale or conveyance of corporate assets, which may have been done so in order to hinder creditors or prejudice minority shareholders
